Voltedge Terms & Conditions

1. Orders and Acceptance:

Orders must be submitted electronically through a written purchase order.

Orders are subject to Voltedge’s acceptance and availability of Products.

Voltedge will confirm acceptance of an order by sending a confirmation email to Distributor.

2. Prices and Payment:

Prices for Products are listed on the Voltedge website or in a separate price list provided to Distributor. Prices are subject to change without notice.

Payment terms are net 7 days from the date of invoice. Late payments may be subject to late fees.

Distributor is responsible for all applicable taxes and duties.

3. Minimum Order Quantities:

Voltedge may have minimum order quantities for certain Products. These minimums will be communicated to Distributor.

4. Delivery:

Voltedge will deliver Products to the designated shipping address provided by Distributor.

Delivery charges and estimated delivery times will be displayed at checkout or communicated separately for each order.

Risk of loss for Products passes to Distributor upon delivery.

5. Returns:

Returns of Products may be authorized by Voltedge on a case-by-case basis, subject to a restocking fee.

Returned Products must be in original, unopened, and unused condition.

Distributor is responsible for return shipping costs.

6. Warranties:

Products may come with warranties offered by the manufacturer. Voltedge makes no warranties, express or implied, with respect to Products, including but not limited to warranties of merchantability or fitness for a particular purpose.

7. Limitation of Liability:

Voltedge shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or related to the sale of Products.

8. Intellectual Property:

Voltedge retains all intellectual property rights in the Products and related marketing materials. Distributor may not use Voltedge’s trademarks or copyrights without written permission.

9. Term and Termination:

These Terms shall remain in effect until terminated by either party upon written notice.

Voltedge may terminate these Terms for cause, including but not limited to, Distributor’s breach of these Terms or non-payment of invoices.

10. Governing Law and Dispute Resolution:

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in India.

11. Severability:

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

12. Entire Agreement:

These Terms constitute the entire agreement between Voltedge and Distributor with respect to the sale of Products.

13. Amendment:

Voltedge may amend these Terms at any time by posting the amended terms on its website or providing written notice to Distributor.
